1.1 Legal Agreement

By accessing QkSell (website, mobile app, or any related service), you agree to:

• Comply fully with these Terms and all applicable laws
• Be at least 18 years of age (major under Indian law)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using QkSell under Indian law or by court order

1.2 No Minor Access

• QkSell is intended for adults aged 18+ only.
• By registering for an account or otherwise using the Platform, you represent and warrant that you are at least 18 years of age and legally authorized to use this Platform. This representation is a condition of accessing QkSell, whether or not a separate age-confirmation checkbox is presented to you at signup.
• Minors are strictly prohibited from using the Platform or posting content.
• If you are a minor, you must obtain written consent from your legal guardian before accessing the Platform.
• If you are a legal guardian, you cannot enter into contracts on behalf of a minor through this Platform.

1.3 Representation

By using QkSell, you represent that:

• All information you provide is true, accurate, and complete
• If you are representing a business, you are legally authorized to act on its behalf
• You have not been convicted of any crime related to fraud, theft, or cheating
• You are not subject to any restraining order preventing you from using this Platform

2. Platform Overview & Intermediary Status

2.1 What QkSell Is

QkSell is an online classifieds marketplace operating within Kerala, India, operated by STAR DIGITAL SEVA. We provide a platform that:

• Enables users to post advertisements for goods, services, and business listings
• Facilitates buyer-seller connections through WhatsApp and in-app communication
• Processes payments for promotional services (boosting, featuring posts, phone credits)
• Does not directly facilitate the buying, selling, or delivery of items

2.2 Intermediary Disclaimer

QkSell operates as an intermediary platform as defined under Section 2(w) of the Information Technology Act, 2000. This means:

• We do not own, manage, or have custody of any user-posted content or listed items
• We are not a party to, and do not control, any transaction between users
• We do not provide buyer protection, escrow, shipping, or delivery services
• We are not liable for disputes between buyers and sellers
• We do not warrant the authenticity, legality, or quality of any listed item
• All dealings are directly between users at their own risk

2.3 We Are Not

• A seller or buyer
• A broker, agent, or representative
• Responsible for fraud, cheating, theft, or quality issues between users
• Responsible for user-to-user interactions, communications, or transactions
• Responsible for WhatsApp or third-party payment gateway issues

3. User Roles & Registration

3.1 Types of Users

Users on QkSell may be:

• Individual Buyers/Sellers: Private individuals buying or selling second-hand goods
• Agents: Real estate or vehicle agents posting listings for clients
• Business Users: Shops, businesses, or service providers listing offerings
• Partners: Users earning commission by creating and managing posts for clients

3.2 Registration & OTP Verification

• To post listings, you must register and verify your mobile phone number via OTP
• You may update listings without re-verification (subsequent edits do not trigger new OTP)
• Each user may only have one active account per phone number
• Duplicate accounts may be deactivated without notice
• All information provided during registration must be truthful and current

3.3 Account Responsibility

• You are solely responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity under your account, whether authorized by you or not
• QkSell is not liable for unauthorized access to your account
• You agree to notify QkSell immediately of any unauthorized account access

3.4 Multi-Device Login Policy

• Free Users: May log in from a maximum of 1 device
• Paid Service Users: May log in from a maximum of 5 devices after OTP verification per device
• If you exceed the device limit and attempt to log in from a new device, you will be prompted to log out an existing device
• Attempt to bypass this restriction (device spoofing, account sharing) is a violation and may result in account suspension

4. Prohibited Conduct & Content Policy

4.1 You Agree Not To

4.1.1 Illegal Activity

• Post any listing for items whose sale is prohibited, restricted, or regulated under Indian law
• Post listings for weapons, firearms, explosives, ammunition, or CBRN materials
• Facilitate or engage in human trafficking, child exploitation, or forced labor
• Post listings for counterfeit goods, stolen property, or goods obtained through fraud
• Engage in any fraudulent, deceptive, or misleading activity
• Impersonate any person or entity

4.1.2 Harmful & Abusive Content

• Post content that is obscene, pornographic, or exploitative of minors in any way
• Post content that is defamatory, libelous, or invasive of privacy
• Post content that harasses, threatens, or bullies any individual or group
• Post content that promotes enmity, violence, or discrimination on grounds of religion, caste, race, gender, or ethnicity
• Post content that threatens India’s unity, integrity, security, or sovereignty
• Post content that incites violence or illegal activity

4.1.3 Intellectual Property & Rights

• Post any content you do not own or have legal rights to use
• Post photos, images, or videos without the copyright owner’s permission
• Post content that infringes trademarks, patents, or trade secrets of others
• Post someone else’s personal information without explicit written consent
• Post content of identifiable individuals without their consent

4.1.4 Misuse of Platform

• Use automated bots, scrapers, or data mining tools to extract content
• Post the same listing in multiple categories or locations simultaneously
• Post listings outside the Kerala service area
• Use spam, mass messaging, or unsolicited contact tactics
• Attempt to manipulate prices to unfairly profit (price gouging in violation of Consumer Protection Act 2019)
• Use the Platform for any unauthorized commercial purpose

4.1.5 Prohibited Transaction Practices

• Discriminate between buyers based on protected characteristics (religion, caste, gender, etc.)
• Request or make off-platform payments to avoid our payment processing (if applicable)
• Use WhatsApp or other channels to deceive users about product condition or price
• Engage in “bait and switch” practices (advertising one product, offering another)
• Make false claims about product authenticity, condition, or legal status
• Fail to disclose material information (damage, liens, third-party claims, etc.)

4.1.6 Partner-Specific Prohibitions

• Partners must obtain explicit written consent from the original item owner before creating any listing on their behalf
• Partners may not misrepresent their authority or relationship to the client
• Partners may not obscure the client’s identity or create fake profiles
• Partners must honor the client’s wishes regarding pricing, visibility, and takedown

4.2 Content Moderation

QkSell conducts manual review of listings before they are published. We reserve the right to:

• Remove, reject, or flag any listing that violates these Terms
• Remove listings upon receiving a valid complaint (flagged content)
• Suspend or terminate the account of any user who repeatedly violates these Terms
• Report suspected illegal activity to law enforcement authorities
• Preserve evidence related to fraudulent or illegal activity for legal proceedings

Note: Our manual moderation is a best-effort safeguard. We may not catch all violations. The final responsibility for the legality and authenticity of any listing rests entirely with the poster.

4.3 Repeat Violation

A repeat violator is a user who:

• Has received more than one notice of violation
• Has had more than one listing removed
• Is found to have engaged in similar prohibited conduct after prior warnings

QkSell may, at its sole discretion:

• Terminate your account immediately
• Permanently ban you from re-registering
• Report your activity to appropriate authorities

5. User-Generated Content & Listings

5.1 Your Responsibility for Listings

You alone are responsible for every listing you post, including:

• All descriptions, images, specifications, and claims
• Accuracy and truthfulness of all information
• Legality of the item and compliance with all applicable laws
• Ownership and right to sell the item
• All consequences arising from your listing

5.2 Content Rights & License

By posting any content on QkSell, you grant us:

• The right to display, reproduce, and distribute your content on the Platform
• The right to share your listing with our partners, third parties, and analytics services
• The right to use your content for platform improvement, marketing, and aggregated analytics
• An irrevocable, non-exclusive, worldwide, royalty-free license for these purposes

You retain ownership of your content. However, once posted, your listing becomes public and may be indexed by search engines or referenced by third-party websites.

5.3 Images & Cloudflare

• All listing images are uploaded to Cloudflare Images (not stored on our servers directly)
• Cloudflare’s Terms of Service apply to image storage
• You are responsible for ensuring you own or have rights to all images you upload
• QkSell is not liable for image loss, corruption, or deletion by Cloudflare

5.4 Regulated Categories

5.4.1 Vehicles (Cars, Bikes, Commercial Vehicles)

• You must own or have valid authorization to sell the vehicle
• You are responsible for obtaining and transferring the RC (Registration Certificate) to the buyer
• Buyers must independently verify Motor Vehicles Act compliance, insurance, PUC, and roadworthiness
• You must produce all required documents (Form 29, NOC, registration papers) when requested
• QkSell disclaims all liability for vehicle ownership disputes, title defects, or compliance issues

5.4.2 Real Estate & Property

• You must own or have valid authorization to sell/rent the property
• You are responsible for verifying RERA compliance (if applicable under Real Estate Regulation and Development Act 2016)
• Buyers must independently verify ownership deeds, encumbrance certificates, building approvals, and occupancy certificates
• You warrant that all legal approvals (building, environmental, municipal clearance) are in place
• QkSell does not verify property titles, legal status, or regulatory compliance

5.4.3 Business Professionals & Services

• Business users (agents, lawyers, advocates, valuators, builders) may list their services
• You must possess any required professional licenses (RERA registration for agents, bar council enrollment for lawyers, etc.)
• You are responsible for disclosing all required qualifications and registrations
• You warrant compliance with all professional conduct rules and regulations
• QkSell does not verify professional credentials or regulate professional conduct

5.4.4 Electronics, Appliances & Second-Hand Goods

• You warrant the product’s authenticity, condition, and compliance with relevant safety standards (BIS, Ministry standards, etc.)
• You are responsible for disclosing any defects, damage, or functional issues
• Buyers must independently verify product specifications and authenticity
• QkSell does not certify product authenticity or warrant product safety

5.4.5 Jobs & Employment

• Job posters must be legitimate employers or authorized representatives
• You warrant the job posting is genuine and not for fraudulent recruitment schemes
• You are responsible for complying with all Indian labor laws
• QkSell does not verify employer credentials or employment legitimacy

5.4.6 Animal Products & Pet Feed

• You warrant compliance with FSSAI (Food Safety and Standards Authority of India) guidelines for pet feed
• You warrant the quality and safety of all animal-related products
• Buyers must independently verify feed suitability for their animals and obtain veterinary guidance
• QkSell does not warrant animal product safety or feed quality

5.4.7 Restricted Items (Walkie Talkies, Firearms, Licenses)

• Items subject to licensing (walkie talkies, firearms, restricted communication devices) may not be listed unless otherwise approved
• You must ensure compliance with the Indian Wireless Telegraphy Act 1933 and relevant regulations
• You are responsible for obtaining all mandatory licenses and approvals
• Buyers must ensure they possess all required licenses before purchase
• QkSell may report suspected illegal listings to authorities

5.5 Counterfeit & Stolen Goods

• We remove listings that we reasonably believe to be counterfeit or stolen
• Removing a listing does not imply the item is actually counterfeit — it reflects our policy
• If your listing is removed, you may dispute it through our grievance process
• Repeat postings of counterfeit goods will result in permanent account termination

5.6 Post Lifecycle & Status

• Listings move through statuses: Draft → Reviewing → Approved → Live
• Once approved, listings are public for 30 days from posting date
• You may edit, renew, or delete listings at any time during validity
• Listings may be removed if they violate these Terms
• Sold or completed items should be marked “Sold Out” or deleted by the poster

6. Payment & Promotional Services

6.1 Payment Processing

• QkSell facilitates payments through third-party gateways (PhonePe, Cashfree)
• We do not directly process or store credit card or UPI information
• Third-party payment gateways’ terms, security measures, and privacy policies apply
• QkSell is not liable for payment failures, delays, or fraud by third-party gateways
• By using our payment services, you agree to comply with the gateway’s terms

6.2 Promoted Listings & Phone Credits

You may purchase:

• Phone Credits: Unlock and reveal a seller’s phone number for direct contact (1 credit per reveal)
• Post Promotion/Boost: Pay to feature your listing for increased visibility
• Partner Tier Upgrades: Pay to upgrade from Free to Pro partnership tier

6.3 Credit Idempotency

• Phone view idempotency is guaranteed: you will not be charged twice for revealing the same seller’s number
• If you have already revealed a seller’s number, viewing it again is free
• Each buyer-seller pair is tracked to prevent duplicate charges

6.4 Payment Terms

• Prices displayed on the Platform are inclusive of applicable taxes (GST) unless otherwise stated
• Payments are non-refundable once processed (except where refund policy explicitly applies)
• Refunds for failed transactions are processed within 5-7 business days by the payment gateway
• Disputes regarding payment transactions must be raised within 30 days of transaction

6.5 Fraud & Chargeback Protection

• We reserve the right to flag and investigate suspicious payment patterns
• Chargebacks or payment reversals may result in account suspension
• We may share fraud-related information with law enforcement

7. Partner Program

7.1 Partner Eligibility

• Free and Pro partnership tiers are available
• Eligible users may apply to become Partners (earning commission on client posts)
• QkSell may approve, deny, or revoke partnership status at its discretion
• Partner upgrades from Free to Pro may be paid or manually granted by QkSell

7.2 Partner Obligations

• Partners must obtain explicit written consent from each client before creating a listing on their behalf
• Partners must clearly disclose their commission terms to clients
• Partners must honor the client’s decisions regarding pricing, visibility, and takedown
• Partners must not misrepresent the client’s identity or relationship
• Partners must not obscure client information or create fake client profiles

7.3 Client-Post OTP Verification

• When a Partner creates a listing on behalf of a client, the client’s phone number must be OTP-verified
• The client must confirm they authorize the Partner to post on their behalf
• This prevents Partners from misusing the system to post on others’ behalf without consent

7.4 Partner Earnings & Payouts

• Earnings are tracked in a unified Account Ledger (debits for payouts, credits for commissions earned)
• Partner commissions are earned when a client’s post is successfully created and remains live
• Payouts are processed as debit entries only after explicit staff approval
• Payout requests may take up to 30 days for processing
• All payout terms (UPI details, commission rates, frequency) are documented with QkSell staff

7.5 Commission Dispute Resolution

• Disputes over earned commissions must be raised within 30 days of the transaction date
• We will review documentation and make a final determination
• Once a payout is approved and processed, disputes cannot be reopened

8. User Data & Phone Numbers

8.1 Phone Number Handling

• When you post a listing, your phone number may be displayed on the listing (if you opt to show it)
• Buyers may click a WhatsApp link to message you directly via WhatsApp API
• Your phone number is shared with buyers who purchase the “reveal phone” feature
• QkSell may share your contact details with select platform partners (with your consent or as described in the Privacy Policy)

8.2 Data Retention

• After you delete your account, we retain your data for 30 days to resolve disputes, process refunds, or comply with legal holds
• After 30 days, personal data is permanently deleted or anonymized
• Transaction records and dispute history may be retained longer for legal compliance
• Aggregated, anonymized data may be retained indefinitely for analytics and platform improvement

8.3 Data Security

• We use industry-standard encryption for data transmission
• However, no online system is 100% secure
• We are not liable for unauthorized access, data breaches, or loss of data
• You are responsible for protecting your account credentials

9. User Conduct & Transaction Responsibility

9.1 Buyer Responsibilities

• Conduct independent verification of all listing details (authenticity, condition, legal status, compliance)
• Physically inspect items before completing purchase
• Verify seller identity and legitimacy
• For regulated items (vehicles, property, professionals), verify all required documents and compliance
• Arrange your own transportation and logistics
• Do not rely on QkSell’s representations regarding any listed item

9.2 Seller Responsibilities

• Provide accurate, truthful, and complete listing information
• Disclose all material defects, damage, or issues
• For regulated items, ensure legal compliance before posting
• Respond professionally to buyer inquiries
• Complete all legally required documentation transfers (e.g., RC transfer for vehicles)
• Do not misrepresent items or engage in fraudulent practices

9.3 No Dispute Resolution

• QkSell does NOT provide dispute resolution, mediation, or arbitration services
• All disputes between buyers and sellers must be resolved directly between them
• If a dispute cannot be resolved, users may file a consumer complaint with appropriate authorities
• QkSell will not intervene in buyer-seller disputes

9.4 Your Sole Remedy

If you suffer loss due to another user’s fraudulent listing or conduct, your sole remedy is to:

1. Report it to QkSell for listing removal
2. File a police complaint (for fraud, theft, cheating)
3. File a consumer complaint under the Consumer Protection Act 2019

You expressly waive all claims against QkSell for such losses

10. Prohibited Items & Legal Compliance

10.1 Absolutely Prohibited Items

QkSell prohibits listings for:

• Weapons, firearms, ammunition, explosives
• Narcotics, controlled substances, or intoxicants
• CBRN (chemical, biological, radiological, nuclear) materials
• Counterfeit currency or forged documents
• Stolen property (known or suspected)
• Human beings or human trafficking services
• Child abuse material or child exploitation
• Illegal services (hitman, hacking, etc.)
• Obscene or pornographic material

Posting such items will result in immediate account termination and potential law enforcement reporting.

10.2 Restricted Items

Restricted items may be listed only with proper documentation and compliance verification:

• Vehicles (with ownership proof)
• Property (with title and ownership documents)
• Licensed services (with professional credentials)
• Animal feed (with FSSAI compliance)
• Restricted communication devices (with regulatory approval)

10.3 Your Compliance Warranty

By posting any listing, you warrant that:

• The item is legal to buy, sell, and own in India
• You own or have authority to sell the item
• No third party has a claim or lien on the item
• The item complies with all applicable safety and quality standards
• You have not obtained the item through theft, fraud, or illegal means
• All required licenses, permits, and approvals are in place

11. Indemnification

You agree to defend, indemnify, and hold QkSell harmless from any claims, damages, losses, liabilities, or expenses (including attorney fees) arising from:

• Your listing, posting, or content
• Your violation of these Terms or applicable law
• Your violation of any third-party rights (copyright, trademark, patent, privacy, etc.)
• Your use of the Platform to commit fraud, theft, or cheating
• Your negligence in verifying item legality or authenticity
• Your failure to comply with regulatory requirements for restricted items
• Your non-adherence to consumer protection laws
• Your breach of contract with another user

This indemnification survives termination of your account and these Terms.

12. Disclaimer of Warranties

12.1 As-Is Basis

The Platform and all content are provided “as is” and “as available” without any warranties of any kind.

12.2 Explicit Disclaimers

QkSell makes no warranties regarding:

• The accuracy, completeness, or authenticity of any listing
• The legality or regulatory compliance of any item
• The quality, safety, or functionality of any item
• The trustworthiness, honesty, or reliability of any user
• The authenticity or identity of any user
• The successful completion of any transaction
• The value or fair market price of any item
• Third-party payment gateway security or functionality
• WhatsApp or third-party communication platform functionality
• The Platform’s uninterrupted availability or error-free operation
• Buyer protection, escrow, or dispute resolution services

12.3 User Assumption of Risk

All users assume all risk associated with:

• Listing accuracy and item authenticity
• Buyer-seller interactions and transactions
• Fraud, cheating, theft, or misrepresentation by other users
• Physical, financial, or legal harm resulting from transactions
• Failure to verify regulatory compliance or legal status of items
• Failure to verify professional credentials or qualifications

12.4 Applicability

This disclaimer applies to the maximum extent permitted under Indian law, including the Consumer Protection Act 2019, Information Technology Act 2000, and all applicable regulations.

13. Limitation of Liability

13.1 No Liability

Under no circumstances shall QkSell be liable for:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of data, revenue, profits, or business opportunity
• Financial loss due to fraud, cheating, or misrepresentation by users
• Physical injury or property damage resulting from transactions
• Loss of items, payment, or monetary value
• Emotional distress or reputational harm
• Claims arising from user-to-user transactions or interactions
• Third-party claims or lawsuits involving users

Even if QkSell has been advised of the possibility of such damages.

13.2 Aggregate Liability Cap

In no event shall QkSell’s total aggregate liability exceed the amount you paid to QkSell in the 12 months preceding the claim.

If you have paid nothing to QkSell, your sole remedy is account termination with no refund.

13.3 Exceptions

These limitations do not apply to:

• Liability for gross negligence or willful misconduct
• Liability for breach of fundamental obligations under Indian law
• Liability that cannot be excluded under Consumer Protection Act 2019

14. Account Termination & Suspension

14.1 By QkSell

We may suspend or permanently terminate your account without notice if:

• You violate these Terms or applicable law
• You engage in fraudulent, deceptive, or illegal conduct
• You post prohibited content
• You are a repeat violator
• You abuse the Platform
• You threaten, harass, or harm other users
• We detect suspicious payment activity or chargebacks
• You exceed device login limits
• We have reasonable cause to believe you pose a risk to other users

14.2 By You

• You may request account deletion at any time
• Upon deletion, your data is retained for 30 days (for disputes and refunds)
• After 30 days, personal data is permanently deleted
• Listing and transaction records may be retained longer for legal compliance

14.3 Effect of Termination

• All listings are immediately unpublished
• You lose access to your account and all associated features
• No refunds are issued for unused paid services
• You remain liable for all past violations and claims
• You may not re-register under a new account (we may ban your phone number permanently)

15. Grievance & Dispute Resolution

15.1 Grievance Officer

QkSell designates itself as Grievance Officer (single proprietor acting in this capacity) for complaints under the Information Technology Rules 2021 and Consumer Protection Act 2019.

15.2 Complaint Process

1. Submit your complaint via email with details of the issue
2. We will investigate and communicate our findings
3. If we find QkSell at fault, we will remedy the issue
4. If we find the issue is user-to-user, we will advise you to pursue direct resolution or file a police/consumer complaint

15.3 15-Day Negotiation Period

• For disputes between users and QkSell, we will attempt negotiation for 15 days
• If negotiation fails, disputes proceed to arbitration

15.4 Arbitration

• Any claim between you and QkSell shall be resolved by sole arbitration
• Seat of Arbitration: North Paravur, Ernakulam, Kerala
• Venue: Any mutually agreed location in North Paravur or Ernakulam
• Governing Law: Laws of India (Information Technology Act 2000, IT Rules 2021, Consumer Protection Act 2019)
• Arbitration Rules: Arbitration and Conciliation Act 1996
• Language: English
• Subject to arbitration, courts at North Paravur District Court (ADL District Court), Ernakulam shall have exclusive jurisdiction

15.5 What We Won’t Arbitrate

• User-to-user disputes: These are resolved by negotiation, police complaint, or consumer court
• Third-party claims: Reported to appropriate authorities
• Urgent matters: May go directly to court for injunctive relief (e.g., restraining harmful posts)

16. Privacy Policy

16.1 Summary

• We collect phone numbers, names, and device information upon registration
• We use this data to provide Platform services and prevent fraud
• We share data with payment gateways and WhatsApp for functionality
• We retain personal data for 30 days after account deletion
• You have the right to request data access, correction, or deletion

17. Intellectual Property

17.1 Our IP

• All Platform code, design, logos, and materials are owned by QkSell
• You may not reverse-engineer, decompile, or copy the Platform
• You may not use our logos or trademarks without permission
• Unauthorized use of our IP is a violation and may result in legal action

17.2 Your IP

• You retain ownership of your content and listings
• By posting, you grant us a license to display and distribute your content
• You warrant you own or have rights to all content you post

17.3 Third-Party IP

• Third-party content (APIs, services, integrations) are subject to their respective licenses
• We are not responsible for third-party IP violations

18. Third-Party Services

18.1 Payment Gateways

• PhonePe and Cashfree terms and privacy policies apply to payment processing
• We are not responsible for payment gateway failures or security breaches
• Disputes with payment gateways must be directed to the gateway provider

18.2 WhatsApp

• WhatsApp’s Terms of Service and Privacy Policy apply to messaging
• We are not responsible for message delivery failures or account issues
• QkSell uses WhatsApp’s click-to-message API for user convenience

18.3 Cloudflare Images

• Cloudflare’s terms apply to image storage and delivery
• We are not responsible for image loss or corruption by Cloudflare

18.4 Third-Party Links

• QkSell may link to third-party websites or services
• We are not responsible for third-party content or practices
• Use of third-party sites is at your own risk

19. Amendment & Notices

19.1 Changes to Terms

• We may update these Terms at any time
• Material changes will be communicated via email or in-app notification
• Your continued use after changes constitutes acceptance

19.2 Notices to You

• We send notices via email (to the address you provided during registration) or in-app notification
• Notices are effective upon sending

19.3 Notices to QkSell

20. Severability

• All other provisions remain in full force and effect

If you violate these Terms, you understand damages are difficult to quantify. You agree to pay liquidated damages (not a penalty):
